N30 reservation agreement

Terms & Conditions

Documentation: Your N30 Reservation Agreement (the “Agreement”) is made up of the following documents:

Vessel Configuration: The Vessel Configuration will be confirmed with you at a later date. It will describe the vessel that you configure, including pricing (excluding taxes, freight and official or government fees).

Final Price Sheet: The Final Price Sheet will be provided to you as your build date nears. It will include final pricing based on your Vessel Configuration and will include freight, taxes and official or governmental fees.

Terms & Conditions: These Terms & Conditions are effective as of the date you place your build slot reservation (the “reservation”) and make your reservation payment (the “reservation date”). All terms and conditions are subjected to change without prior notice.

Agreement to Purchase: You agree to reserve a build slot to purchase the vessel as selected during your Reservation Payment and by taking delivery, completing the transaction when the vessel is ready for delivery from Navier or it’s affiliate (“we”, “us” or “our”), pursuant to the terms and conditions of this agreement.

Price, Taxes and Official Fees: The price of the vessel will be confirmed in your Vessel Configuration and Final Price Sheet. As you may have only configured part of your vessel, any vessel price provided to you in advance of the Final Price Sheet is only being offered to you as an estimate and is subject to change. Any vessel price listed in the vessel Configuration will not include taxes, freight and official or government fees. You are responsible for paying these additional taxes and fees.

Reservation Process; Cancellation; Changes: After reservation, and at least 30 days prior to commencement of your build, we will invite you to complete final configuration of your vessel.

After confirming final configuration, we will apply your Reservation Payment towards the final balance due, as listed on the Final Price Sheet. Until you enter into a Purchase Agreement, your Reservation may be cancelled at any time, in which case you will receive a full refund of your Reservation Payment.

Once you complete the vessel configuration, we will issue you a Purchase Agreement indicating the final purchase price of the vessel which is based on the base price of the vessel and any options included or that you select, and including estimates of any applicable taxes, duties, transport and delivery charges, and any other applicable fees.

Your $1000 deposit allows you to hold a slot but doesn’t guarantee delivery of a vessel till a full purchase agreement is completed. In the event we sell out of the N30 before completing your purchase or we decide to discontinue production of the model, you’ll have the option to receive a full refund or move to the top of the list for a future production.

Delivery: You agree to schedule and take delivery of your vessel within 2 weeks of the build completion date. If you are unable to take delivery within the specified period, your vessel may be made available for sale to other customers.

You may pick up the vessel from our production facility, or we will, on your behalf, coordinate the shipment of your vessel to you from our production facility. In such a case, you agree that this is a shipment contract under which Navier will coordinate the shipping of the vessel to you via a third-party common carrier. You agree that delivery of the vessel, including the transfer of title and risk of loss to you, will occur at the time your vessel is loaded onto the common carrier’s transport (i.e., FOB shipping point). The carrier will insure your vessel while in transit and you will be the beneficiary of any claims for damage to the vessel or losses occurring while the vessel is in the possession of a common carrier.

You understand that Navier may not have completed the development of N30 or begun manufacturing N30 at the time you entered into this Agreement and so we do not guarantee when your vessel will actually be delivered. Your actual delivery date is dependent on many factors, including your vessel’s configuration and manufacturing availability. To secure your final payment and performance under the terms of this Agreement, we will retain a security interest in the vessel and all proceeds therefrom until your obligations have been fulfilled.

No Resellers; Discontinuation; Cancellation: Your Reservation is not transferable or assignable to another party without the prior written approval of Navier. We may unilaterally cancel any order that we believe has been made with a view toward resale of the Vessel or that has otherwise been made in bad faith. We may also cancel your pre-order and refund your Reservation Payment if we discontinue a product, feature or option after the time you place your reservation.

We welcome inquiries from dealers, brokers, and resellers. Please email info@navierboat.com

Agreement to Arbitrate: This provision applies to any dispute between you and ONET Global Inc (DBA Navier) and its affiliates, (together “Navier”). If you have a concern or dispute, please send a written notice describing it and your desired resolution to info@navierboat.com. If not resolved within 60 days, you agree that any dispute arising out of or relating to any aspect of the relationship between you and Navier will not be decided by a judge or jury but instead by a single arbitrator in an arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. This includes claims arising before this Agreement, such as claims related to statements about our products.

Governing Law; Integration; Assignment: The terms of this Agreement are governed by, and to be interpreted according to, the laws of California. Prior agreements, oral statements, negotiations, communications or representations about the vessel sold under this Agreement are superseded by this Agreement. Terms relating to the pre-order not expressly contained herein are not binding. We may assign this Agreement at our discretion to one of our affiliated entities.
